Terms and Conditions
These Terms and Conditions (the “Terms”) shall apply to all users, as well as the entity or organization they represent, of the Smithandquinnrugs.com portal (collectively referred to as “You” or as the “User”), including use of the information made available via this portal (the “Portal”), owned and operated by Smith and Quinn Rugs LLC for its own benefit. In using the Portal, You agree to be bound to these Terms. Should you not accept these Terms, you must refrain from using the Portal. On the contrary, should you continue to use the Portal, You will be deemed to have accepted these Terms, to the maximum extent provided by applicable laws.
We may modify these Terms at any time without prior notice to You, and such modifications will become effective immediately upon posting the modified Terms on the Portal. Any use from Yours of the Portal after such modified Terms have been posted will be deemed as acceptance by You of those modified Terms.
Governing Law and Disputes: the Terms shall be governed by, and shall be construed, in accordance with the laws of the United Arab Emirates (the “UAE”). Any dispute or claim arising from or related to these Terms and/or the Portal shall be subject to the exclusive jurisdiction of the courts of the (UAE) OR Emirate of Dubai.
Domicile: the UAE is our country of domicile.
Age Restriction: Users under the age of 18, classified as minors, are not allowed to register or transact on the Portal. The age of consent is defined as per the applicable law.
Secure Payments: When making payments for our products or services on our Portal, the details You provide will be securely transmitted to our payment provider through an activated SSL connection.
Record Keeping: The cardholder is advised to retain a copy of transaction records along with awareness of our merchant policies and rules.
Multiple Shipments: Please note that multiple shipments may result in multiple postings on the credit card holder’s monthly statement.
We aim to provide a secure and transparent online experience for our Users. Feel free to reach out if You have any questions or concerns.
Warranty
Our warranty covers manufacturing defects, if any, ensuring your satisfaction with our products.
You are responsible to flag any eventual manufacturing defects and we reserve the right to analyze on a case-by-case basis and, upon such an assessment, eventually reject returns of the specific product(s).
In the event of proven manufacturing defects, your carpet(s) can be returned for reparation and/or modifications and/or exchanges, as the case may be. Alternatively, we reserve the right to offer a full refund or credit note valid up to ninety (90) days from the purchase date.
Please note that this warranty is not extended to damages resulting from general use, including spillages, overuse, accidental damages (including but not limited to water leakages, natural disasters (including but not limited to fire and flood).
If needed, Smith and Quinn Rugs LLC can arrange for carpet cleaning, with all associated costs to be borne by the customer(s).
Intellectual Property
Whereas, “Intellectual Property” shall mean all industrial and intellectual property rights, whether capable of registration or not and registered or not (including without limitation pending applications for registration of such rights and the right to apply for registration or extension of such rights) including, without limitation, inventions (whether patentable or unpatentable and whether or not reduced to practice), patents, petty patents, utility models, design patents, certificates of invention, registered and unregistered designs, copyright (including moral rights and neighbouring rights), computer software, databases and other sui generis rights, or similar rights in any applicable jurisdiction, You acknowledge that:
a) all ownership of all rights, title, interest and benefit in and to Our Intellectual Property shall at all times be vested in and belong to Smith and Quinn Rugs LLC and that all goodwill associated with the use of such Intellectual Property inures to the sole benefit of Smith and Quinn Rugs LLC; and
b) You will not do or cause or permit anything to be done which may endanger Smith and Quinn Rugs LLC’s rights in, and ownership of, the Intellectual Property.
No Intellectual Property rights of Smith and Quinn Rugs LLC are transferred or licensed as a result of any activity performed by You in the Portal.
Title to and possession of Smith and Quinn Rugs LLC of the Intellectual Property shall remain with Smith and Quinn Rugs LLC.
Entire Agreement
You acknowledge and agree that these Terms constitute the complete and exclusive agreement between us concerning the use of the Portal and supersede and govern all prior agreements or other communications, either written or verbal.
Severability
Should any provision of these Terms be declared void or unenforceable by a court, an arbitrator or any other competent authority, the other provisions of these Terms and the rights and obligations therein set forth shall remain in full force and effect. The void or unenforceable provision shall be deemed to be deleted from these Terms and shall be substituted by Us in good faith by a valid provision which shall be considered as a modification to these Terms, with all the effects above detailed.
